1. About these Terms
These Terms and Conditions (“Terms”) govern your access to and use of the website www.pauz.io (the “Website”), your request for the Pauz relaxation device, and your use of the Pauz device and related audio content and services (collectively, the “Products”), all operated by Hrim Innovation LLP (“Pauz”, “HRIM”, “we”, “us” or “our”).
The supply and use of Pauz devices (“Pauz Units”) to organisations and individuals is provided on a subscription basis under a separate Subscription Agreement and its Usage Policy (together, the “Subscription Agreement”). These Website Terms govern your use of the Website and the request process. In the event of any conflict between these Terms and a signed Subscription Agreement in relation to the supply or use of Pauz Units, the Subscription Agreement prevails.
By accessing the Website, submitting a request, or using a Product, you agree to be bound by these Terms. If you do not agree, please do not use the Website or the Products.
2. About Pauz
Pauz is an on-desk, audio-guided relaxation device designed to support focus, tension reduction and recovery for founders, business leaders and professionals during the workday. Pauz Units are supplied on subscription and remain the property of HRIM.
Pauz is a wellness and relaxation product. It is not a medical device and is not intended to diagnose, treat, cure or prevent any disease or medical or psychological condition. See Section 11 (Health Disclaimer).
3. Eligibility
To use the Website and request a Product, you must be at least 18 years old and capable of entering into a legally binding contract under applicable law. If you use the Website or subscribe on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms and to the Subscription Agreement.
4. Requesting a Pauz subscription
You may express interest through the “Request a Pauz Device” form or by contacting us via email or WhatsApp.
Submitting a request does not create a binding contract. We onboard customers individually and aim to respond within the timeframe stated on the Website. We reserve the right to accept or decline any request at our discretion.
A binding subscription is formed only upon execution of a Subscription Agreement and/or our written confirmation, together with receipt of any applicable fees.
We may verify the information you provide and may decline or cancel a request where information is inaccurate, where there is suspected fraud or misuse, or where supply is unavailable.
5. Subscription fees and payment
Pauz Units are supplied for a subscription fee specified in your Subscription Agreement.
Subscription fees are payable in advance of the subscription period. Subsequent monthly payments are due by the 5th day of each month (or as otherwise agreed), to the account details set out in your Subscription Agreement.
Late payment or non-payment may attract an administrative fee and interest on overdue amounts, as set out in your Subscription Agreement. Where payment is not received within the period specified in the Subscription Agreement, we may suspend or terminate access to the Pauz application and setup.
Unless stated otherwise, fees are exclusive of applicable taxes (such as GST), which will be added where relevant.
The specific subscription fee, billing schedule, late-payment charges and account details are set out in your Subscription Agreement and its overleaf/schedule.
6. Supply, installation and maintenance
We will supply and install the agreed number of Pauz Units at the location(s) agreed between the parties.
Maintenance of faulty or malfunctioning Units is provided as follows: minor repairs are targeted for completion within 14 working days of being notified (at our cost); major repairs within 25 working days of being notified (at the customer’s cost); and defects that cannot be attributed to normal use are at our cost, provided they are notified within 7 working days of receipt of the Units.
Damage arising from use, normal wear and tear, or accident is chargeable on a case-by-case basis (covering repair, replacement parts and service charges).
All requests for repair must be made in writing and include a summary of the issue.
Maintenance timelines and cost allocation are governed by your Subscription Agreement.
7. Licence to use audio content
The Product includes audio-guided relaxation content. Subject to these Terms and your Subscription Agreement, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the audio content solely with the Pauz Units during your subscription term, for your own personal or internal business use. You may not copy, record, redistribute, publicly perform, sell or commercially exploit the audio content without our prior written consent.
9. Intellectual property
All intellectual property, materials and work products developed or provided by HRIM — including the Pauz name, logos, designs, the Pauz Units, audio content, text, graphics and software — remain the property of HRIM. You are granted only a limited, non-exclusive licence to use them for the purposes of your subscription. Each party retains all rights in intellectual property it owned before or develops independently during the term. The rights and licences granted to you may not be transferred or assigned by you, but may be assigned by HRIM without restriction or notice. Except as expressly stated, no other rights or licences are granted.
10. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged. Information classified as confidential will not be disclosed to third parties without prior written consent, except as required by law.
11. Health disclaimer
Pauz is intended for general relaxation and wellbeing and is not a substitute for professional medical, psychological or mental-health advice, diagnosis or treatment. The Product does not diagnose, treat, cure or prevent any condition.
You should consult a qualified healthcare professional before use if you have any medical or psychological condition, or any concerns about whether the Product is suitable for you. Do not use the Product while driving, operating machinery, or in any situation where reduced alertness could be unsafe. If you experience any discomfort, discontinue use and seek professional advice. If you are experiencing a medical or mental-health emergency, contact emergency services or a qualified professional immediately.
12. Disclaimers
The Website and Products are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Website will be uninterrupted, error-free or secure, or that any particular result or benefit will be achieved through use of the Products.
13. Limitation of liability and indemnity
To the maximum extent permitted by applicable law, HRIM and its members, employees and partners will not be liable for any indirect, incidental, special or consequential damages arising from the provision or use of the Products or Website. Our total aggregate liability is limited to the total fees paid by you for the specific service in question. To the extent any proceedings (civil or otherwise) arise from your actions, your misuse of the Products, or your breach of these Terms or applicable law, you agree to indemnify and hold harmless HRIM and its members, employees and partners from any resulting claims, orders, directions, remedies, losses and expenses (including reasonable legal fees). Nothing in these Terms excludes liability that cannot be excluded under applicable law.
14. Third-party links and services
The Website may contain links to or integrations with third-party sites and services (such as LinkedIn, WhatsApp, Google and our hosting provider). We are not responsible for the content, policies or practices of those third parties. Your use of them is at your own risk and subject to their terms.
15. Privacy
Your use of the Website and Products is also governed by our Privacy Policy, which explains how we handle your personal data. Please review it carefully.
16. Termination and return of Units
Either party may terminate the subscription by giving 15 days’ prior written notice of the termination date.
On termination, you will compensate us for services/subscription rendered up to the termination date and return the Pauz Units and all inclusions provided at the commencement of the subscription.
The notice requirement may be waived on payment of one month’s subscription fee.
We may also suspend or terminate your access for breach of these Terms or the Usage Policy, non-payment, or misuse.
